Terms of Service

These Terms govern your access to and use of Foundry,foundrystart.com, and the products, AI generations, artifacts, subscriptions, credits, exports, and services we provide.

Agreement to These Terms

By accessing or using Foundry, creating an account, generating an artifact, buying credits, starting a subscription, clicking a purchase or generation button, or continuing to use the service after these Terms change, you agree to these Terms and our Privacy Policy.

If you use Foundry for a company, startup, client, or other entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use Foundry.

1. The Service

Foundry is an AI-assisted startup ideation and launch-planning service. It may help generate niches, rankings, debates, business plans, brand kits, launch materials, share cards, exports, PDFs, dashboards, checklists, and related artifacts.

Foundry is not a law firm, accounting firm, financial adviser, investment adviser, tax adviser, broker, franchise seller, business-opportunity seller, employment adviser, or professional consultancy. The service provides AI-generated materials for your review. You are responsible for verifying information and deciding what to do.

2. Changes to Foundry and These Terms

To the maximum extent permitted by law, we may change these Terms, the Privacy Policy, pricing, plans, credit costs, included credits, generation limits, model availability, providers, bonuses, referral rewards, promotions, features, UI, exports, artifacts, access rules, public/private defaults, eligibility rules, and any other part of Foundry at any time, with or without notice.

Updated Terms are effective when posted unless we state a later effective date. Your continued use of Foundry after a change means you accept the updated Terms. If you do not accept a change, your only remedy is to stop using Foundry and cancel any subscription.

We may suspend, limit, remove, replace, rename, discontinue, or deprecate any feature or service at any time. We are not liable for modification, suspension, or discontinuation of any part of Foundry, except where liability cannot be excluded by law.

3. Accounts, Magic Links, and Eligibility

  • You must provide accurate account and payment information and keep it current.
  • You are responsible for access to your email account because Foundry uses email-based magic links for authentication.
  • You are responsible for all activity under your account, sessions, generated artifacts, payment methods, and referral links.
  • You may not share, sell, rent, transfer, or sublicense your account without our written permission.
  • You must be at least 13 years old to use Foundry. If a higher age of digital consent applies where you live, you must meet that age.
  • We may refuse, suspend, or terminate access if we believe an account, payment, generation, artifact, referral, or use of the service creates risk or violates these Terms.

4. AI Outputs, No Guarantees, and Your Responsibility

AI output can be wrong, incomplete, outdated, duplicated, biased, speculative, offensive, unavailable, or unsuitable for your use case. It can also resemble output generated for other users. You must independently review, verify, test, and adapt all output before relying on it.

  • We do not guarantee that any niche, plan, brand, score, market estimate, competitor analysis, revenue model, copy, launch strategy, or recommendation is accurate or useful.
  • We do not guarantee revenue, profit, customers, funding, launch success, market validation, product-market fit, legal compliance, investment returns, or any business outcome.
  • We do not make earnings claims. Any numbers, scores, projections, market sizes, timelines, or examples are estimates or generated materials, not promises.
  • You are responsible for business, legal, tax, financial, regulatory, hiring, marketing, and operational decisions.
  • You should consult qualified professionals before relying on output for legal, tax, financial, investment, employment, medical, safety, regulated, or high-risk matters.

5. Your Content and License to Us

You retain whatever rights you have in prompts, ideas, profile information, uploads, feedback, and other content you submit to Foundry. Subject to these Terms, we assign to you our rights, if any, in the generated output created specifically for you by the service.

You grant Foundry a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, modify, create derivative works from, display, publish, transmit, export, and otherwise use your content and generated artifacts as needed to operate, provide, secure, debug, support, market, and improve Foundry, to honor your sharing and visibility choices, and to comply with law.

You represent that you have all rights needed to submit your content and to use, publish, export, or commercialize any output. You are solely responsible for trademark clearance, copyright clearance, privacy clearance, advertising compliance, and regulatory review.

6. Public Artifacts and Sharing

Some Foundry artifacts are public by default. Public artifacts may be accessible to anyone with the link and may be crawled, indexed, cached, copied, screenshotted, exported, or shared by others.

  • Anonymous artifacts are public because there is no verified account owner to manage private visibility.
  • Logged-in users may have visibility controls for eligible artifacts, depending on product tier and feature availability.
  • If you make an artifact public or share a link, you are responsible for the consequences of that sharing.
  • Making an artifact private later does not remove copies from search engines, caches, recipients, exports, screenshots, or third-party systems.
  • We may remove, restrict, or refuse to host artifacts that we believe violate these Terms, create legal risk, expose sensitive information, or harm Foundry or others.

7. Payments, Credits, Subscriptions, and Refunds

Paid features are processed through third-party payment providers. By purchasing a plan, subscription, credit pack, or crypto checkout, you authorize us and our providers to process the transaction and related information.

SubscriptionsSubscription plans renew until canceled. You authorize us and our payment providers to charge the applicable recurring fees, taxes, and provider charges. You can cancel through available account controls or by contacting us.
Monthly creditsMonthly subscription credits reset each billing cycle. Unused monthly credits do not roll over unless we expressly state otherwise.
Extra creditsPurchased extra credits are not cash, have no stored monetary value, cannot be transferred, cannot be resold, and can be used only inside Foundry. We currently describe purchased extra credits as non-expiring while your account remains active, but we may modify the credit system as permitted by law.
Credit costsGeneration costs, model multipliers, feature costs, bonuses, referral rewards, pack sizes, and included monthly credits may change at any time unless a specific written purchase term says otherwise.
Annual billingAnnual subscriptions are charged upfront for the annual period. Canceling stops future renewal; it does not automatically create a prorated refund unless required by law or expressly stated by us.
Crypto paymentsCrypto payments depend on third-party providers, networks, exchange rates, confirmations, wallet accuracy, and provider rules. Crypto transactions may be irreversible. Bonuses for crypto payments may change or end at any time.
RefundsAll fees are non-refundable except where required by law or where we expressly state a refund applies. If a generation fails after credits are spent, our usual remedy is a credit refund, not a cash refund.
Price changesWe may change prices, taxes, plans, promotional offers, and billing terms. If we expressly offer a locked-in rate, that offer applies only to the plan, account, billing interval, and conditions stated at purchase and remains subject to law, taxes, provider fees, abuse, and plan migration limits.

Failed, reversed, disputed, fraudulent, or chargeback transactions may cause credits, subscriptions, generated artifacts, account access, or exports to be suspended, reversed, or terminated.

8. Acceptable Use

You agree not to:

  • Use Foundry for illegal, fraudulent, deceptive, harmful, abusive, or unauthorized purposes.
  • Submit content you do not have the right to submit, or content that violates privacy, publicity, intellectual property, contract, employment, export, sanctions, consumer protection, or other laws.
  • Use Foundry to create spam, phishing, malware, scams, fake reviews, deceptive endorsements, impersonation, or misleading business opportunity claims.
  • Represent AI output as verified fact, professional advice, guaranteed earnings, guaranteed market validation, or a result that we promised.
  • Reverse engineer, scrape, crawl, overload, interfere with, probe, bypass limits, bypass access controls, or extract data from Foundry except through interfaces we intentionally provide.
  • Share accounts, sell or transfer credits, abuse referral programs, manipulate payment or webhook flows, or exploit bugs.
  • Upload secrets, passwords, private keys, full payment details, government identifiers, health records, regulated data, or highly sensitive personal information unless we have expressly agreed in writing.
  • Use Foundry in a way that could damage, disable, overburden, impair, or compromise our systems, providers, users, reputation, or legal compliance.

9. Third-Party Services

Foundry depends on third-party services, including AI infrastructure, hosting, database, queue, analytics, product-observation, email, payment, crypto, font, export, and other providers. Third-party services may be unavailable, change their terms, change pricing, change APIs, create errors, reject transactions, or stop supporting features.

We are not responsible for third-party services, websites, content, policies, actions, failures, outages, fees, exchange rates, network fees, wallet mistakes, provider decisions, or terms. Your use of third-party services may be governed by their own terms and privacy notices.

10. Foundry Intellectual Property

Foundry, including the website, software, workflows, prompts, interfaces, designs, cards, visual systems, copy, brand, trademarks, logos, scoring systems, generation pipelines, and other materials, is owned by us or our licensors and is protected by intellectual property and other laws.

You may not copy, modify, distribute, sell, lease, sublicense, mirror, frame, reverse engineer, or create competing datasets or services from Foundry except as these Terms or the product interface expressly allow. Feedback you provide may be used by us without restriction or compensation.

11. Disclaimers

Foundry is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and course of dealing.

We do not warrant that Foundry will be uninterrupted, secure, error-free, accurate, complete, compatible, profitable, compliant with your intended use, or available at any particular time or location. We do not warrant that defects will be corrected or that data will always be preserved.

12. Limitation of Liability

To the maximum extent permitted by law, Foundry and its owners, operators, affiliates, employees, contractors, providers, licensors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost savings; lost data; loss of goodwill; business interruption; replacement services; or any damages arising from AI output, public artifacts, payments, crypto transactions, third-party services, account access, or use of Foundry.

To the maximum extent permitted by law, our total liability for any claim related to Foundry is limited to the greater of USD $100 or the amount you paid to Foundry for the service giving rise to the claim during the three months before the event giving rise to liability. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.

13. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Foundry and its owners, operators, affiliates, employees, contractors, providers, licensors, and agents from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys fees, arising from your content, your artifacts, your use of output, your business activities, your payment disputes, your violation of these Terms, your violation of law, or your violation of anyone else's rights.

14. Suspension and Termination

We may suspend, restrict, or terminate your access to Foundry, remove or restrict artifacts, reverse credits, disable exports, cancel referrals, or block transactions at any time if we believe there is a violation of these Terms, legal risk, payment risk, security risk, abuse, fraud, provider requirement, operational issue, or harm to Foundry or others.

You may stop using Foundry at any time. Canceling a subscription stops future renewals but does not automatically refund past fees. Sections that by their nature should survive termination will survive, including payment obligations, content licenses, disclaimers, liability limits, indemnity, dispute terms, and ownership provisions.

15. Disputes

Before filing a claim, you agree to email hello@foundrystart.com with a description of the dispute and give us 30 days to try to resolve it informally. This does not prevent either side from seeking urgent injunctive relief where legally available.

To the maximum extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in a class, consolidated, representative, collective, or private attorney general action. Where individual arbitration is enforceable, disputes will be resolved by binding individual arbitration instead of court. Where arbitration or class-action waivers are not enforceable, the remaining dispute terms still apply to the maximum extent permitted.

These Terms are governed by the laws applicable to the operator of Foundry, without regard to conflict-of-laws principles, unless mandatory consumer law gives you other rights. If a court is required to hear a dispute, venue will be in a court with jurisdiction over the operator of Foundry, unless mandatory law requires otherwise.

16. Miscellaneous

  • If any part of these Terms is invalid or unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, financing, reorganization, asset sale, or operation of law.
  • We are not liable for delays or failures caused by events outside our reasonable control, including outages, provider failures, labor issues, attacks, legal changes, disasters, war, civil unrest, or internet failures.
  • Headings are for convenience only and do not limit the Terms.
  • These Terms, together with the Privacy Policy and any purchase-specific terms presented at checkout, are the entire agreement between you and us about Foundry.
